This Terms of Service contract ("Agreement") serves as a binding legal arrangement between yourself (the "Customer") and Zentage Communication ("we," "us," or "Zentage Communication") concerning the provision and utilization of our Voice over IP technologies ("Services"). By accessing or deploying these Services, you explicitly consent to the stipulations outlined here and our associated Acceptable Use Policy, accessible at https://zentagecommunication.com. Active usage of our network signifies your full agreement to these operational rules.
1. Eligibility and Account Administration
To qualify for our Services, your account must maintain a positive standing alongside an authorized and active billing method. You alone are responsible for establishing a stable Internet connection; Zentage Communication cannot be held liable for degradation stemming from your local network or external third-party hardware.
You are permitted to appoint specific account administrators ("Administrator") who possess complete authority over your portal. This Administrator handles technical configurations, billing updates, and number portability. To transfer Administrator privileges, the outgoing Administrator must submit formal authorization from the registered email or present a signed company letterhead document. Administrators may also assign "Company Contacts" to intercept routine billing and service alerts.
2. Service Pricing and Changes
You commit to remitting all applicable rates, recurrent fees, and usage-based tolls (such as per-minute or per-message costs) detailed in your Service Agreement or live user portal, plus any mandated taxes. Zentage Communication retains the right to modify pricing structures or service limits provided we issue a 30-day notice via the portal or direct email alert. It remains your duty to verify active rates continually.
Furthermore, we may alter the non-financial terms of this Agreement by posting a 30-day notice on https://zentagecommunication.com. These updates take effect instantly following the notice period unless a formal written objection is submitted. You must ensure your contact details remain accurate at all times.
3. Billing and Payment
Delinquent or incomplete payments may trigger instant service suspension; Zentage Communication accepts no responsibility for operational losses during such downtimes. Overdue balances attract a monthly late penalty of 1.5% (or the maximum local legal limit). The Customer absorbs all expenses related to debt collection, including attorney fees. By providing any contact number, you consent to Zentage Communication occasionally utilizing automated dialers for account-related notifications. Following any termination involving unpaid dues, all provisioned telephone numbers may be immediately reclaimed by us.
4. Termination
Either party holds the right to dissolve this Agreement by explicitly submitting a 30-day written notice. Following cancellation, you may formally request the reimbursement of any unused prepaid funds. Zentage Communication processes eligible refunds within a 30-day window, subtracting any lingering unpaid charges.
5. Usage and Fraud
The Customer absorbs full financial responsibility for all originating and terminating traffic costs, regardless of whether the usage was authorized or fraudulent. You are strictly mandated to secure all SIP credentials and hardware connected to our network. Zentage Communication may proactively restrict calling access to specific international zones to curtail fraud without prior warning. We bear no liability for unauthorized consumption and hold no explicit obligation to monitor or halt fraudulent activity on your behalf.
6. Emergency Services (911)
Zentage Communication’s emergency dialing (911) functions distinctly from traditional landline operations and remains inactive by default. To activate Enhanced 911 (E911), you must formally request this via Support with a 30-day lead time while supplying a verifiable physical location (P.O. boxes are prohibited). You are required to educate all end-users regarding the functional limits of our 911 capability.
7. Number Porting
Zentage Communication is authorized to execute number porting activities on your behalf to facilitate service delivery. You completely absolve Zentage Communication from any liability concerning downtime, porting rejection, or number forfeiture triggered by third-party carrier conflicts.

You pledge that your application of our Services fully complies with all local, federal, and international frameworks governing telemarketing, recording consent, and intellectual property. Violating regulatory standards warrants immediate expulsion from our network.
10. Arbitration
Excluding intellectual property infringements, any commercial disputes stemming from this Agreement will be exclusively resolved via binding arbitration guided by the American Arbitration Association’s Commercial Rules, hosted in Wilmington, Delaware. The designated arbitrator’s verdict is considered final, adhering to Virginia's discovery protocols. Both parties willingly surrender the right to a traditional jury trial.
11. Limitation of Liability
Zentage Communication is formally shielded from indirect, incidental, or consequential financial losses, encompassing theoretical lost profits or data corruption, except in proven cases of willful misconduct. Our maximum total liability is stringently capped at the cumulative amount you paid us during the six months immediately preceding the legal claim. All Services are provisioned strictly on an "as is" and "as available" basis, devoid of operational warranties.
12. Indemnification
You agree to robustly defend and indemnify Zentage Communication against any third-party lawsuits, claims, or financial demands provoked by your service usage or internal breach of this contract.
13. Governing Law
This document is definitively governed and interpreted under the laws of the State of Delaware, thoroughly dismissing its conflict-of-laws principles.
14. Entire Agreement
This Agreement, combined with your individual Service Agreement or order forms, represents the universal understanding between yourself and Zentage Communication, completely overriding any previously negotiated terms.
15. Severability and Waiver
Should any specific clause be deemed legally impotent, all remaining provisions continue to exert full enforceable power. Selecting not to enforce a violation does not constitute a waiver against penalizing future identical infractions.
16. Survival
All terms pertaining to liability limitations, mutual indemnification, arbitration, and confidentiality persistently survive even after the core service contract is officially terminated.
